Agreement & Terms of Enrolment - Autumn 2026

1. Who this agreement is between

This agreement is between Dr Jill Williams, trading as Uptrained Brain / Rethink Therapy Conwy (the “Provider”, “I”, “me” or “my”), and the person enrolling in the programme (the “Participant”, “you” or “your”).

By paying the £100 deposit through the Stripe Payment Link and actively accepting these Terms of Enrolment at checkout, you agree to the arrangements set out below, subject to your statutory consumer rights.

2. What Uptrained Brain is

Uptrained Brain is a 10-week, psychologist-led programme designed to help participants understand and change patterns associated with work stress, burnout, self-doubt, perfectionism, self-criticism and overthinking.

The programme is educational and psychologically informed. It is not an emergency or crisis service and it is not a substitute for medical assessment, psychiatric care or other treatment that you may need. If, at any point, I believe that the programme is not appropriate for your needs, I will discuss this with you and may recommend other or additional support.

Participation cannot guarantee a particular psychological, health, employment or other outcome. Progress varies between people and is influenced by many factors, including engagement with the programme and circumstances outside either party’s control.

3. What is included

Your enrolment includes the following, subject to the programme timetable supplied before or at the start of the programme:

  • The complete 10-week Uptrained Brain programme.

  • Structured digital learning materials, exercises and practical resources.

  • Optional live online Q&A sessions during the 10-week programme.

  • Three private one-to-one sessions of up to 60 minutes each with Dr Jill Williams, held online, by telephone or in person in the Conwy office.

  • Optional access to the programme’s online participant community, where offered.

  • Access to the programme learning resources for three months after the end of the 10-week programme.

  • A personalised plan to support maintenance of progress.

The average expected time commitment is approximately 2-3 hours per week. The estimated founding cohort start date is shown at the head of this agreement.

The founding cohort fee is £625 fully inclusive.

 

A £100 deposit is payable through the Stripe Payment Link to reserve your place. The deposit forms part of the £625 total fee and is not an additional charge. The remaining balance is £525 and is payable 7 days before the confirmed programme start date.

Subject to your statutory cancellation rights and section 5, paying the deposit and accepting these terms commits you to the full £625 programme fee.

4. Founding cohort

This is a founding cohort. The programme has been carefully developed from my professional experience, but this cohort is also an opportunity to refine how the programme works in practice. You may therefore be asked for honest feedback about the content, delivery and participant experience.The reduced founding rate reflects this feedback role, the deliberately small cohort and the additional access to me available to founding members.

As part of the founding cohort arrangement, you agree to provide an honest review of your experience of Uptrained Brain at the end of the programme. Your review does not need to be positive; I want your genuine views about what was helpful and what could be improved.

 

You agree that I may quote or reproduce your review for marketing, promotional or educational purposes, provided it is anonymised and does not include your name, photograph, job title, employer, location or other information that would reasonably identify you. I will not deliberately alter the meaning of your words. If a quotation could identify you because of its content or context, I will obtain your specific permission before using it.

5. Deposit, start date and commitment to the programme fee

The £100 deposit reserves your place in the founding cohort and will be credited towards the total £625 programme fee.

The estimated start date is shown at the head of this agreement. The exact start date will be confirmed to you once the founding cohort is ready to begin. In all cases, the founding cohort will start no later than 31 October 2026.

Subject to your statutory cancellation rights, once you have paid the £100 deposit and accepted these terms you are committing to the full £625 programme fee. If the founding cohort starts on or before 31 October 2026, the remaining £525 remains payable even if you later decide not to attend, stop participating, miss sessions or do not make use of some or all of the programme materials or support. This is because your place has been reserved for you in a deliberately small cohort.

If the founding cohort has not started by 31 October 2026, you may choose either to keep your place for a later start date or to withdraw from the programme. If you withdraw for this reason, your £100 deposit will be refunded in full and you will not owe the remaining £525. If you have already paid any part of the remaining balance, that amount will also be refunded.

If I decide that the founding cohort will not run, any programme fees you have paid, including the £100 deposit, will be refunded in full.

These arrangements do not remove or restrict any statutory cancellation, refund or other consumer rights you may have.

6. One-to-one sessions and cancellations

We will arrange your three private sessions at mutually convenient times. Please give at least 24 hours’ notice if you need to cancel or rearrange a session.

If you cancel with less than 24 hours’ notice, or do not attend, the session may count as used unless there are exceptional circumstances. I will use reasonable discretion where illness, emergencies or other unforeseen events arise.

If I need to cancel a session, I will offer a mutually convenient replacement time.

7. Live sessions and recordings

Live group sessions and private one-to-one sessions will not be recorded unless I have given explicit advance notice and obtained the agreement of all people who will be recorded.

You must not make your own audio, video, screen or other recording of any group session, one-to-one session, participant discussion or programme community content without my prior written permission and the explicit agreement of every other person who would be recorded.

8. Group conduct and psychological safety

A respectful and psychologically safe learning environment is essential. You agree to communicate respectfully with me and with other participants and not to behave in a way that is abusive, threatening, discriminatory, harassing or seriously disruptive.

If a concern arises, I will normally try to address it with you first where it is reasonable and safe to do so. I may restrict or end access to a session, community or the programme where this is reasonably necessary to protect participants, maintain professional boundaries or enable the programme to operate safely.

Any decision about suspension or termination will be made reasonably and proportionately. Your statutory consumer rights are not affected.

9. Confidentiality

My responsibilities

I will treat information you share with me as confidential, subject to professional, legal and safeguarding limits. These may include:

  • where you give me permission to share information;

  • where disclosure is required by law, a court, or an appropriate professional or regulatory process;

  • where there is a serious concern about risk of harm to you or another person, including safeguarding concerns;

  • where disclosure is otherwise required by law; and

  • professional supervision, where information will be limited and anonymised or pseudonymised as far as reasonably possible.

You will not be pressured to disclose personal information in group sessions. Please share only what you are comfortable sharing in a group setting.

Your responsibilities to other participants:

You must respect the privacy of other participants. You may talk about your own experience of the programme, but you must not share another participant’s identity, personal information, experiences, comments, screenshots, posts or other material outside the programme without that person’s explicit permission.

Confidentiality in a group setting depends on every participant. Although I require participants to follow this agreement, I cannot give an absolute guarantee that another participant will comply.

10. Privacy, records and online working

I will process personal information in accordance with applicable UK data protection law and my Privacy Policy: [https://www.rethinktherapyconwy.com/privacy]. The Privacy Policy explains what information I collect, why I use it, the lawful basis for processing it, who it may be shared with, how it is protected, your rights and how to contact me about your data.

Because the programme may involve information about mental or physical health, some information may be special category personal data and will receive additional protection.

I keep appropriate records, including contact details and brief professional notes where necessary. My current retention period for relevant client records is seven years, subject to any legal, insurance or professional requirement that requires a different period.

Online services involve some unavoidable privacy and security risks. I will use reasonable and appropriate safeguards, but no online system can be guaranteed to be completely secure.

You are responsible for joining private sessions from a suitably private location where possible, keeping your devices and login details secure, and not sharing programme access links or passwords.

11. Intellectual property and permitted use

All Uptrained Brain materials that I create or own — including videos, audio, slides, written materials, worksheets, exercises, graphics, frameworks, programme structure, teaching materials, downloads and other resources — are protected by copyright and/or other intellectual property rights.

Your enrolment gives you a personal, limited, non-transferable licence to access and use those materials for your own learning during the access period. Ownership of the materials and intellectual property does not transfer to you.

Unless I give you prior written permission, you must not:

  • copy, reproduce, republish or distribute programme materials other than making reasonable personal-use copies where a download is provided;

  • share your login, links, downloads or programme materials with another person;

  • upload programme materials to a shared drive, website, social media platform, AI system, course platform or other third-party service for redistribution, training, analysis or creation of derivative materials;

  • sell, license, commercially exploit or create a competing product from the programme materials;

  • teach, deliver or present the programme, its proprietary materials or substantial parts of them as your own training or service; or

  • remove copyright, trade mark or other ownership notices.

Nothing in this section prevents you from using the ideas and skills you learn in your own life. It is the programme materials and my protected expression and proprietary resources that you may not copy, distribute or commercially exploit.

If intellectual property is misused, I may take reasonable steps available to me to stop the misuse and protect my rights.

12. Technology and availability

You will need suitable internet access and a compatible device to use the online elements of the programme. I will take reasonable steps to keep the programme accessible and to deal with technical problems within my control.

Occasional outages or problems caused by third-party services, internet providers or events outside my reasonable control may occur. Where a significant problem prevents delivery of an important part of the programme, I will take reasonable steps to provide an alternative, replacement or extension as appropriate.

13. Consumer cancellation rights

Nothing in this agreement, including the commitment to pay the remaining £525, removes or restricts your statutory consumer rights. If you buy the programme online, by telephone or otherwise at a distance, you may have a statutory 14-day cancellation right. The precise position can differ between services and digital content.

If you ask me to begin providing a service during the 14-day cancellation period, you may be required to pay a proportionate amount for services supplied before you cancel. If digital content is supplied immediately, I will obtain any express consent and acknowledgement required by law before you lose any statutory cancellation right relating to that digital content.

14. Changes to the programme

I may make minor changes to timings, session dates, learning materials or delivery arrangements where reasonably necessary, for example because of illness, technology issues or to improve delivery. I will not make a material change that substantially reduces what you have purchased without offering an appropriate remedy.

If circumstances outside my reasonable control make a scheduled element impossible to deliver, I will take reasonable steps to rearrange it or provide a suitable alternative.

15. Complaints and professional standards

If you are unhappy with any aspect of the programme, please raise it with me as soon as possible so that I have an opportunity to understand the concern and, where appropriate, put matters right.

Professional memberships: I am a Chartered Psychological with membership of the British Psychological Society (BPS) and the British Association for Counselling and Psychotherapy (BACP).

This means I have a responsibility to treat you in accordance with their ethical frameworks. If you’re unhappy with the service I provide,  I would welcome you raising this with me as soon as possible, but you may also complain directly to the above professional bodies.

16. Governing law

This agreement is governed by the law of England and Wales, subject to any mandatory consumer protections that apply to you. Nothing in this clause is intended to prevent a consumer from bringing proceedings in a court they are entitled to use under applicable law.

17. Entire agreement and severability

This agreement, together with the programme description, payment terms and Privacy Policy provided to you, records the terms on which you are enrolling. If any provision is found to be invalid or unenforceable, the remaining provisions will continue to apply so far as the law permits.

18. Electronic acceptance through Stripe

This agreement is made available on the Uptrained Brain / Rethink Therapy Conwy website at: www.rethinktherapyconwy.com/terms-conditions

When you use the Stripe Payment Link to pay the £100 deposit, Stripe will require you to actively accept the Terms of Enrolment before completing payment. By ticking the acceptance box and completing the £100 deposit payment, you confirm that you have had the opportunity to read these terms, understand that you are reserving a place in the founding cohort, and agree to be bound by them, subject to your statutory consumer rights.

In particular, you acknowledge that the total programme fee is £625 and that, subject to your statutory cancellation rights and section 5, the remaining £525 will still be payable if the programme starts on or before 31 October 2026, even if you subsequently choose not to attend or participate.

You should save or retain a copy of these terms for your records. I will also provide or make available a copy of the applicable terms in a form that you can retain.
